1. Acceptance of the Terms

By accessing or using any page, tool, document, calculator, portal, or downloadable file on Coignecapital.ca or its sub-domains (collectively, the “Site”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”) and by our Privacy & Confidentiality Policy and Complaints Management Policy, which are incorporated by reference. 2. Regulatory Status & Disclosures

• Coigne Capital Inc. (“Coigne Capital,” “we,” “us,” “our”) is registered in Québec as:

  • A financial services firm and insurance brokerage with the Autorité des marchés financiers (“AMF”).

  • An exempt market and mutual-fund dealer through its relationship with WhiteHaven Securities Inc. (member CIPF) and, where applicable, Global Maxfin Investments Inc.

• All segregated funds are placed through duly licensed life-insurance carriers; mutual funds and securities are offered only in the provinces/territories where the responsible representative is registered.

• Our AML/ATF program complies with the Proceeds of Crime (Money Laundering) and Terrorist Financing Act, its Regulations, and guidance issued by FINTRAC.

3. Eligibility, Permitted Use & Client Classification

The Site is intended for Canadian residents of the age of majority who may legally form binding contracts. Nothing on the Site is directed to persons in jurisdictions where (a) Coigne Capital is not registered or (b) the distribution or use of such content would be contrary to local law or regulation.

You agree to use the Site only for lawful, personal, and non-commercial purposes and to supply true, accurate, and complete information when requested (including during any “Know-Your-Client” or onboarding workflow). Any unauthorised, automated, or malicious use is strictly prohibited.

4. No Advice, Offer, or Solicitation

Information on the Site is general in nature and for educational purposes only; it does not constitute personalized financial, legal, tax, or accounting advice, nor an offer to buy or sell securities in any jurisdiction. For tailored recommendations you must speak directly with a Coigne Capital advisor and complete a formal suitability assessment. Past performance is not indicative of future returns, and all investments involve risk of loss.

5. Products, Tools & Calculators

Projection tools (e.g., TFSA/RRSP growth simulators) are based on assumptions that may differ from actual market conditions. Results are illustrative only and should not be relied on for making investment decisions. We make no warranty as to the accuracy, completeness, or timeliness of these tools and reserve the right to modify inputs or discontinue them at any time.

6. Intellectual Property

All content, trademarks, service marks, logos, software code, graphics, and multimedia on the Site (collectively, “Content”) are owned or licensed by Coigne Capital and are protected under Canadian and international intellectual-property laws. You are granted a limited, non-exclusive, non-transferable licence to display the Content on your personal device solely for personal, non-commercial viewing. Links to third-party websites (including insurance carriers, fund companies, or regulatory bodies) are provided for convenience only. Coigne Capital does not monitor, endorse, or accept responsibility for the content, accuracy, or security of third-party sites. Your use of such links is at your own risk.

8. Privacy, Law 25 & Cookies

Coigne Capital collects, uses, and retains personal information in accordance with Québec’s Act to modernize legislative provisions as regards the protection of personal information (“Law 25”), PIPEDA, and other applicable privacy statutes. Key Law 25 obligations reflected in our practices include:

• Appointment of a designated Privacy Officer and publication of contact details.

• Mandatory privacy-impact assessments for new technologies and cross-border data transfers.

• Data-breach logging and notification to the Commission d’accès à l’information and affected individuals where there is risk of serious injury.

9. Security & Electronic Communications

While we employ commercially reasonable administrative, technical, and physical safeguards, the Internet is not a fully secure medium and we cannot guarantee the confidentiality of communications transmitted via email or the Site. By using the Site, you consent to receiving electronic communications and accept the risks inherent in such transmission.

10. Anti-Money Laundering & Fraud Prevention

You agree not to use the Site or Coigne Capital services to conceal or disguise the proceeds of crime, finance terrorism, or breach international sanctions. We may request additional documentation, perform ongoing monitoring, or restrict services without notice to comply with Canadian AML/ATF laws.

11. Disclaimer of Warranties

The Site and all Content are provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. Where legislation prohibits the exclusion of warranties, the mandatory legal warranties will apply but only to the minimum extent required.

12. Limitation of Liability

To the fullest extent permitted by law, Coigne Capital, its affiliates, officers, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages (including lost profits, lost data, or business interruption) arising out of or in connection with the Site, even if we have been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion or limitation of certain damages, liability is limited to CAD 100 in aggregate.

13. Indemnity

You agree to indemnify and hold harmless Coigne Capital, its directors, officers, employees, and representatives from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, misuse of the Site, or violation of any law or third-party right.

14. Modifications to the Terms & Site

We may update these Terms at any time. Material changes will be highlighted on this page with a revised “Effective Date.” Continued use of the Site after changes constitutes acceptance of the revised Terms. We may modify, suspend, or discontinue any portion of the Site without notice or liability.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Québec and federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Québec sitting in the Judicial District of Montréal.

16. Severability & Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force. These Terms, together with any other legal notices or policies published on the Site, constitute the entire agreement between you and Coigne Capital regarding Site use and supersede any prior agreements or understandings.
